These Terms of Service (“Terms”) govern your use of cyanbuild.com and the CyanBuild AI construction takeoff and estimating platform (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service for an organization, you represent that you have authority to bind that organization.
1. Your Account
- You must provide accurate account information and keep it current.
- You are responsible for your account credentials and for all activity under your account.
- You must be authorized to use the Service and old enough to form a binding contract.
- One person or entity per account, unless you use team features as intended.
2. Acceptable Use
You agree not to:
- Upload drawings or content you do not have the right to use or process.
- Reverse-engineer, scrape, or attempt to extract our models, cost data, or proprietary logic.
- Use the Service to infringe rights, violate the law, or distribute malware.
- Interfere with the Service’s operation, security, or other users.
- Resell or sublicense access to the Service without our permission.
3. Your Content
- You own your content. Drawings, estimates, cost data, and projects you upload or create remain yours.
- You grant us a license to host, process, and run AI over your content solely to provide and improve the Service to you.
- You warrant you have the rights to upload your content and that processing it does not violate third-party rights.
4. Takeoff and Estimate Accuracy
CyanBuild uses AI and computer vision to detect, count, and measure elements on drawings and to generate takeoffs and estimates. AI results can be imperfect. Estimates and quantities are not guaranteed and may contain errors or omissions depending on plan quality, drawing clarity, and model limitations. You are responsible for reviewing and verifying all takeoffs and estimates before relying on them for bids, contracts, or construction decisions. CyanBuild is not liable for losses arising from reliance on AI-generated output.
5. Subscriptions and Billing
- Paid plans are billed through our billing partner, Whop.
- Subscription fees are charged in advance on a recurring basis until you cancel.
- You can cancel anytime; access continues until the end of the current paid period.
- Fees are non-refundable except where required by law.
- We may change pricing with reasonable notice; changes apply to upcoming renewal periods.
6. Free Trials and Demo
If we offer a free trial or demo, you may use the Service under the trial terms for the trial period. Trials may have feature or usage limits. We may end or modify a trial at any time.
7. Intellectual Property
The Service, our software, models, branding, and cost databases are owned by CyanBuild and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks, models, or proprietary data.
8. Service Availability
We do not guarantee uninterrupted or error-free Service. We may modify, suspend, or discontinue features for maintenance, improvement, or operational reasons. We are not liable for downtime, data loss, or business interruption beyond what the law requires.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that takeoffs, estimates, or cost data will be accurate, complete, or suitable for your project.
10. Limitation of Liability
To the maximum extent permitted by law, CyanBuild and its suppliers are not liable for any indirect, incidental, special, or consequential damages, or for lost profits, lost bids, or construction cost overruns arising from your use of the Service. Our aggregate liability is limited to the amount you paid us in the twelve months before the claim.
11. Indemnification
You agree to indemnify and hold CyanBuild harmless from claims arising from your content, your use of the Service, or your violation of these Terms or third-party rights.
12. Termination
You can close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk, or as required by law. On termination, your right to use the Service ends; surviving provisions (ownership, disclaimers, liability limits) remain in effect.
13. Governing Law
These Terms are governed by the laws of the United States and the state in which CyanBuild is organized, without regard to conflict-of-law principles. We will try to resolve disputes informally first.
14. Changes to These Terms
We may update these Terms. Material changes will be posted with a new “Last updated” date. Continued use after a change means you accept the updated Terms.
